why not download it from the Ubuntu site and make sure the checksums
match?  did you download the 64 version?    did you burn the iso image
correctly?

your message is not real clear which may be why there is not a better
response.  i know nothing about linux but why would you have a Kernel
panic on a live cd?  they seem to either run or not run.
