Newbie Questions - Help

Hi......

I'm completely new to linux and need some help.  I'm building my first AMD
machine and want to use linux as an OS.

Questions:

1.   Will Ubuntu-5.04 Amd64 version run both 32 and 64 bit apps?

2.    I've used both Nero 6.? and Undisker with at least 8 CDs unsucessfully
with multiply downloads from 2 US FTP sites to load
ubuntu-5.04-live-i386.iso on two Win 2K machines..
I get the same message which ends with  "Kernel panic - not syncing: No int
found.  Try passing init = option to kernel."  Whatever that means??

Anyone please help.
