can I "just" apt-get dist-upgrade

right, dont do that ever on an ubuntu system you want to move from
release to release, see http://www.ubuntu.com/getubuntu/upgrading (the
bottom has teh procedure for servers)

it will upgrade you to the next LTS version (8.04) of ubuntu
