Ubuntu installation under VMware and clock date errors

1) Where does one find a step by step for installation of Ubuntu onto
a Windows XP PC running VMware host ?

2) Which Ubuntu download .iso would be used to install the VMware client ?

3) What could cause the clock of the Ubuntu client to be in error
every day and have to be set manually with the  linux  date  command
every day, running and Windows XP VMware host ?
