What you're saying makes no sense. Making a CD or downloading a CD
and then burning it are functionally equivalent (and in fact the
latter is more involved as you can make a CD off software you already
have on an updated machine).
All you need to do at any rate is copy the contents of
/var/cache/apt/archives from one machine (that has been updated) to
another (that has not been updated) and run apt-get update/upgrade.
