Is vmware-tools still necessary for a network-bound Precise?

Hello list!

I am going to create a VM on top of VMware 4.1. The purpose would be
to act as a simple WAN Optimizer using vtun.

I noticed that out of the box, 12.04.3 (kernel 3.8.0-30) already
provides vmxnet3 module.

Since this box is network-bound anyway, this (vmxnet3) is perhaps the
only thing really necessary for this VM.

So, what do you think? Do I still have to install vmware-tools?
