Yes Gnome 2.x panel will be there as the fallback, just as you've
been used to.
Remember that you will be presented with an interface "jump" from
Gnome 2.x panel to Gnome 3.x shell anyway---Unity is arguably closer
to the Gnome 2.x panel interface that you're used to, and so less of
a jump.

When the jump happens, Ubuntu is choosing to jump a shorter distance.
