update & upgrade error/fail

[Grizzly]

When I run update then upgrade (dist-upgrade, full-upgrade or plain old 
upgrade) I hit a problem

:~$ sudo apt update -y

:~$ sudo apt dist-upgrade

I've never seen this before so I searched the net, the only answers "seem" to 
refer to a 14.04 (ESM) file / problem that occoured on 16.04

Any ideas or has someone seen this on kinetic
