All the enabled repositories are for precise.

I tried both of those and attached the logs at
https://bugs.launchpad.net/ubuntu/+source/update-manager/+bug/1045285/comments/32
I had thought of using something like debtree to figure out where the
problem is, but its not installed on that machine and apt-get doesn't
work (Catch 22 :( )
