10.04 troubleshoot system freeze

Well, i want to thank everyone for their assistance.  I've finally
solved this mess.

after trying everything discussed in the thread, i contacted AMD to have
the CPU replaced.  they replaced it, and they said, "...we have not
received a formal report [on the root cause of the issue for failure].
However, indications appear to be related to a possible memory
controller failure on the processor."

unfortunately, after installing the new CPU, the freezing persisted.  So
i contacted ASUS and had them replace the motherboard.

since then, i haven't had anymore freezing and the system has been
running stable.  so it seemed to be a combo of the CPU/motherboard.
