Feisty Herd 5 - Ubuntu Server

Folks,
   I installed feisty herd 5 server inside a VMware Virtual machine (vmware
server) and somehow its not recognizing my eth0 interface.
  when I browse to /etc/network/interfaces ... I only see loopback.
   I have no problem with herd 5 desktop. eth0 works fine.
   I am using vmware server 1.0.2 on Compaq laptop.
   Both the virtual machines are configured identical, searched the web but
no concrete answer, hence posting here.
