Dapper apt-get upgrade seem to be a problem

Hi
I am using Xubuntu-dapper
This is the problem that I am seeing
I am at login as root (using sudo su)
first I apt-get upgrade or apt-get dist-upgrade
I don't see any updates.
But when I use update-manager I see the update to be installed
ok i can close the update-manager and use apt-get upgrade and see all 
the upgrades that update-manager sees

What gives with the apt-get upgrade not seeing the updates the first 
time before i used update-manager
