Same thing when i do the apt-get remove nvidia-settings.  I however 
fixed the problem (for what it's worth).

I went to /var/cache/apt/archives, then did as root:  dpkg -r 
nvidia-settings  and it removed it, I don't know how or why but after 
that the dist upgrade worked fine.
