ubuntu wont let me edit /etc/init.d/ files

I'm trying to apply the vmware ubuntu work around, but my machine wont
let me edit the /etc/init.d/vmware file...
If I vi it as root or sudo vi it it will open it in readonly mode..?!?!
I've never had this issue before.. and idea what I can do to get around it?
