Ah, quoting myself here.  Here is the solution that works for me:

add the word "apm" to the end of the /etc/modules.

A quick search here on 'shutdown' brought me to [url]http://ubuntuforums.org/viewtopic.php?t=65&highlight=shutdown[/url] which has the solution I mention.  Tested on my laptop and worked as advertised.  I did not have to modify my kernel cmdline.
