In Ubuntu, the kernel headers are in linux-headers-* instead of
kernel-headers-*. So you should install the package with

sudo apt-get install linux-headers-2.6.8.1-3-386

You can specify the location of these headers with the command

sudo module-assistant -k /usr/src/linux-headers-2.6.8.1-3-386

Then the module should build.
