isn't the popup notification just a little band that drops from under
the bookmarks toolbar, with a button that lets you open the popup?  Is
that really so intrusive?

Even so, nothing prevents you from upgrading.  if your sources don't
have the package "firefox-3.5" as an upgrade path, you can enabling
backports or adding a ppa, building from source or even installing the
.bz2 directly from getfirefox.com
