I have the same problem with fglrx. Ubuntu: Dapper Kernel: 2.6.15-21-686 xorg-driver-fglrx: 6.9.0-8.24.8+2.6.15 -- kernel panic whith mplayer and the Option VideoOverlay is on in xorg.conf https://launchpad.net/bugs/41917
