It because when you upgrade with -d it fetches the release announcement from
http://changelogs.ubuntu.com/meta-release-development
which contains
ReleaseNotes: http://archive.ubuntu.com/ubuntu/dists/trusty/main/dist-upgrader-all/current/DevelReleaseAnnouncement
ReleaseNotesHtml: http://archive.ubuntu.com/ubuntu/dists/trusty/main/dist-upgrader-all/current/DevelReleaseAnnouncement.html
instead of
ReleaseNotes: http://archive.ubuntu.com/ubuntu/dists/trusty/main/dist-upgrader-all/current/ReleaseAnnouncement
ReleaseNotesHtml: http://archive.ubuntu.com/ubuntu/dists/trusty/main/dist-upgrader-all/current/ReleaseAnnouncement.html

Bug description:
When upgrading from Ubuntu 13.10 to Ubuntu 14.04.1 with update-manager
-d -c triggers a release note type page on Trusty which indicates that
14.04 is still in devlopment, if you drop the -d you get upgraded to
the same place without such a warning.
