I think you might find this useful.  The ouput for 'sudo apt-get
dist-upgrade' follows:

  Unable to run update manager

Status in “update-manager” package in Ubuntu:
  Incomplete

Bug description:
  When I try to run update manager, I get the following message:

  Could not calculate the upgrade

  An unresolvable problem occurred while calculating the upgrade.

  Please report this bug against the 'update-manager' package and include the following error message:
  'E:Error, pkgProblemResolver::Resolve generated breaks, this may be caused by held packages.'

  Please note that I'm running ubuntu 10.04 and simply checking for
  udpdates, not trying to upgrade to more recent release.   When I try
  to determine the package version via  'apt-cache policy pkgname', I
  get:
