Same problem here ... I did not look after the UTF8 chararcters.

  do-release-upgrade fails if UTF-8 comments in sources.list

Status in “ubuntu-release-upgrader” package in Ubuntu:
  Confirmed

Bug description:
  This has been found out and proven while trying to upgrade several
  machines from Precise to Quantal Alpha3.

  It may or may not still be true with latest version of do-release-
  upgrade ...?

  do-release-upgrade will fail miserably, python complaining about can't
  parse UTF-8, if any "deb" line in /etc/apt/sources.list or
  /etc/apt/sources.list.d/* has a trailing "#" comment containg UTF-8
  chars such as accentuated éèà ...

  The matter is that some of these comments containing UTF-8 may have
  been auto-generated when upgrading from previous Ubuntu versions...
  Depending upon system locale, etc.

  Removing said characters in comments allow do-release-upgrade to then
  succed, so the problem is 100% sure, proven and located.
