I can confirm this issue after upgrading to 12.04.

I found a similar issue reported in the Questions/Answers site at
https://answers.launchpad.net/ubuntu/+source/apt/+question/139992 and
followed the solution outlined in comment #9 (which appears to be taken
from this thread: http://ubuntuforums.org/showthread.php?t=1550362)
which fixed the issue for me.

The commands outline in that thread are:
sudo -i
dpkg --purge --force-depends grub-pc
apt-get install -f
apt-get clean
apt-get -d install grub-pc
dpkg --force-overwrite --install grub-pc (this command didn't work, but i was able to install grub-pc via the Software Centre)
dpkg --configure -a
exit
