What tools have you used to prepare the pxe image?  How did these tools
handle populating /etc/resolv.conf prior to 12.04?

It's likely that these tools need updated to work with resolvconf.

Status in “resolvconf” package in Ubuntu:
  Incomplete

Bug description:
  12.04 not  set dns in resolv.conf when boot from pxe (tftpboot an nfs) .
  It is not a problem of dhcp-server because when i boot 10.04.4 image from the same server is all ok .
