I updated from 10.04 to 12.04 and have the very same problem
Following suggestion from Nick Hewitt (nick-elr) (selecting a different theme and getting back to the default one) seem to have solved the sisue

  12.04 missing icons and system button

Status in “apt” package in Ubuntu:
  Incomplete

Bug description:
  I upgraded 10.04 to 12.04 beta and have run update and upgrade in
  terminal.

  The app bar on the left has missing icons even the the name is there and the app can be run by clicking the blank space. 
  The system button, that I believe should be on the top right next to my user name, is not accessible. My only shutdown option is to press my power button which brings up the shutdown options box.
  Many windows once open don't appear to have a minimise or close option.

  I accept that there are going to be differences with Unity but these are basic issues for a supposedly LTS!
