Are you using a proxy server of some sort that would affect the
downloading of precise.tar.gz? You should be able to find that file in
/tmp/update-manager-w6dStv or if its not there in a folder named
similarly if you start the process again. I'd check the size and md5sum
of the file to ensure it has not been modified.

I'm trying to update from Oneiric to Precise. Here's what update-
manager -d says after the "Downloading the release upgrade tool"
window gets closed:
