I was not sure witch log files in dist-upgrade you needed so I tar the
directory and attached it.  I use to do a lot of trouble shooting work
on these kinds of problems, so I removed some packages that I thought
may interfere, same results.  I also tried the upgrade on two other
machines and got the same results.  I am using the update manager to
start the upgrade. If there is not a clean log file in the  included
file.  I can clean the log directory and try again.

  I have a pretty generic system 11.04. Installed it a little over a
  week ago.  I have two packages install that did not come from Ubuntu
  one is google's Ardesia and Webcamstudio.
