Thats right there is a directory in there.  My mistake.  Do this then:

sudo rm -r /var/lib/apt/lists/*

Then:

sudo mkdir /var/lib/apt/lists/partial

The try the update-manager again.

  MergeList /var/lib/apt/lists/us.archive.ubuntu
  .com_ubuntu_dists_natty_main_binary-i386_Packages, E:The package lists
  or status file could not be parsed or opened.'
