Well the update-manager tries to be more 'user friendly' which is why it
does not behave the same way as 'apt-get'.  Apt-get will actually try
and remove packages if necessary, update-manager does not as it is not a
recommended process for novice users.  Some of the packages an 'apt-get'
may remove could be necessary items on that users system.

Here is the manual page for a 'dist-upgrade'

dist-upgrade:  in addition to performing the function of upgrade,
it also intelligently handles changing dependencies with new versions
of packages; apt-get has a "smart" conflict resolution system, and
it will attempt to upgrade the most important packages at the
expense of less important ones if necessary. ***So, dist-upgrade
command may remove some packages.***

Here is the manual page for a 'upgrade' as performed by the update-
manager:

upgrade:  is used to install the newest versions of all packages
currently installed on the system from the sources enumerated in
/etc/apt/sources.list. Packages currently installed with new
versions available are retrieved and upgraded; ***under no
circumstances are currently installed packages removed, or packages
not already installed retrieved and installed. New versions of
currently installed packages that cannot be upgraded without
changing the install status of another package will be left at
their current version.***

As you can see, these are 2 very different commands.

Title:
  Update Manager offers partial upgrade in Lucid Lynx

Status in “update-manager” package in Ubuntu:
  Invalid

Bug description:
  Since 13th July 2011 Update Manager offers me a Partial Upgrade for Chromium Update, and only chromium-codecs-ffmpeg is selectable, other packets (chromium-browser, chromium-browser-l10n) are grayed out and not selectable. Since 15th July 2011 Update Manager offers me a Partial Upgrade for Linux Kernel too. And shows me 4K sizes for pakets Linux-generic, linux-headers-generic, linux-image-generic and one selectable linux-libc-dev
  This has never happened before. I can reproduce this on a different machine of mine. Also on Lucid Lynx

  There are no log files in /var/log/dist-upgrade/
