Tested on 10.10.  I did not see the same results you did.  Running the command you stated above updated and upgraded the system from the CLI as expected.  Is that the exact command you used?  Are you still seeing this behavior on your system?

Bug description:
  Binary package hint: update-manager

  When you do `sudo apt-get update && sudo apt-get upgrade`, it brings
  up update-manager, even though I'm doing the upgrades in the CLI. That
  probably shouldn't happen. I'm using the CLI because I don't want the
  GUI.
