I had this bug and fixed it by the following. 
Make sure you are authenticated before running the rm.

sudo rm /var/lib/apt/lists/* -vf
sudo apt-get clean
sudo apt-get update
sudo apt-get upgrade


I m very thankfull to Launchpad user "xillix" for a very simple and prompt solution.

  update manager stucks in middle of process

Status in “update-manager” package in Ubuntu:
  Incomplete

Bug description:
  my system specs:
  HP Compaque Business Desktop DX6100
  P4 3.0 Ghz
  1024 MB RAM 2 SATA HDD , 20, 40, 
  Dual Boot with Win 7
  Win 7 on hd0
  Ubuntu 11.04 on hd1

  While updating ubuntu, update manager throws error and suggest filing
  bug report

  'E:Unable to parse package file /var/lib/apt/lists/archive.ubuntu
  .com_ubuntu_dists_natty-updates_universe_binary-i386_Packages (1),
  E:The package lists or status file could not be parsed or opened.'

  I tried to update many times but same thing happened again and again.
  Yesterday it was working fine.
